PLEASE READ THESE TERMS OF SERVICE AND PRODUCT LIABILITY POLICY ("AGREEMENT") CAREFULLY BEFORE PURCHASING FROM OR USING THE ForgeX Motorsports SHOPIFY STORE ("STORE"). BY PLACING AN ORDER, CLICKING "I AGREE," OR COMPLETING A PURCHASE, YOU ("BUYER," "DEALER," OR "COMMERCIAL PURCHASER") REPRESENT THAT YOU ARE AN AUTHORIZED BUSINESS ENTITY WITH AUTHORITY TO BIND YOUR ORGANIZATION AND AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS SET FORTH HEREIN. IF YOU DO NOT AGREE, DO NOT USE THIS STORE OR PURCHASE ANY PRODUCTS.
1. Acceptance of Terms
1.1 Electronic Acceptance.
This Agreement constitutes a legally binding contract between you and ForgeX Motorsports ("ForgeX," "we," "us," or "our"), a business operating under the laws of the State of New Jersey.
1.2 Conduct as Acceptance.
Your use of this Store, browsing of product listings, or submission of any purchase order constitutes your unequivocal acceptance of these Terms in their entirety.
1.3 Modifications.
ForgeX reserves the right to modify these Terms at any time. Continued use of the Store following notice of modification constitutes acceptance of the revised Terms.
1.4 Commercial Purchaser Representations.
Commercial Purchasers represent and warrant that they possess all required federal, state, and local licenses, registrations, and authorizations to purchase, resell, and install automotive brake components.
2. Products and Track Use Designation
2.1 Product Scope.
ForgeX Motorsports sells brake pads, rotors, calipers, brake hardware, and related automotive brake system components (collectively, "PRODUCTS").
2.2 Track Use Designation.
CERTAIN PRODUCTS SOLD BY ForgeX ARE EXPRESSLY DESIGNATED "FOR TRACK USE ONLY" OR "COMPETITION USE ONLY" (collectively, "TRACK USE PRODUCTS"). TRACK USE PRODUCTS:
- Are NOT designed, manufactured, tested, or certified for use on public roads, highways, or streets;
- Do NOT meet Federal Motor Vehicle Safety Standards (FMVSS) applicable to street-legal vehicles;
- May NOT be compliant with emissions, noise, dust, or environmental regulations applicable to on-road use;
- Are intended solely for closed-course, off-road, or sanctioned motorsport competition environments.
2.3 Public Road Use Risk.
ANY INSTALLATION OR USE OF A TRACK USE PRODUCT ON A VEHICLE OPERATED ON PUBLIC ROADS IS SOLELY AT THE BUYER'S RISK.
2.4 Dealer Display Obligations.
Dealers and Commercial Purchasers must display the "For Track Use Only" designation prominently on all resale listings, product packaging, invoices, and point-of-sale materials for TRACK USE PRODUCTS.
3. Product Liability Disclaimer and "As Is" Sale
3.1 As-Is Sale.
ALL PRODUCTS ARE SOLD "AS IS" AND "WITH ALL FAULTS" TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
3.2 Distributor Status.
ForgeX IS A DISTRIBUTOR OF PRODUCTS MANUFACTURED BY THIRD PARTIES. ForgeX DOES NOT DESIGN, ENGINEER, OR MANUFACTURE THE PRODUCTS.
3.3 Safety Warning.
BRAKE COMPONENTS ARE SAFETY-CRITICAL PARTS. IMPROPER SELECTION, INSTALLATION, BEDDING, MAINTENANCE, OR USE OF BRAKE PRODUCTS CAN RESULT IN BRAKE FAILURE, PROPERTY DAMAGE, SERIOUS PERSONAL INJURY, OR DEATH.
4. Limitation of Liability
4.1 Liability Cap.
TO THE MAXIMUM EXTENT PERMITTED BY NEW JERSEY LAW, ForgeX's TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) THE ACTUAL PURCHASE PRICE PAID BY BUYER FOR THE SPECIFIC PRODUCT(S), OR (B) ONE HUNDRED DOLLARS ($100.00).
4.2 Excluded Damages.
IN NO EVENT SHALL ForgeX BE LIABLE FOR ANY indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits; personal injury or property damage not directly caused by ForgeX's gross negligence or willful misconduct; or damages arising from third-party installation, modification, or misuse of Products.
5. Indemnification
5.1 Buyer's General Indemnification.
BUYER shall defend, indemnify, and hold harmless ForgeX Motorsports and its officers, directors, members, employees, agents, contractors, successors, and assigns from and against any LOSSES arising out of or relating to BUYER's purchase, use, installation, or resale of any PRODUCT; BUYER's breach of this Agreement; BUYER's negligence or willful misconduct; or BUYER's use of TRACK USE PRODUCTS on public roads.
5.2 Defense Control.
ForgeX reserves the right to assume exclusive control of the defense of any matter subject to indemnification, at BUYER's expense.
6. Regulatory Compliance
6.1 FMVSS and DOT Compliance Disclaimer.
PRODUCTS DESIGNATED AS "FOR TRACK USE ONLY" ARE EXPRESSLY NOT CERTIFIED TO MEET FMVSS OR DOT STANDARDS. BUYER is solely responsible for verifying compliance prior to installation on street-legal vehicles.
6.2 California Copper Brake Pad Law (SB 346).
BUYER is solely responsible for determining whether PRODUCTS comply with California's copper brake pad requirements prior to resale or installation in California.
6.3 Washington Better Brakes Law.
BUYER is solely responsible for verifying that PRODUCTS sold or installed in Washington comply with all requirements of the Washington Better Brakes Law.
6.4 General Regulatory Responsibility.
BUYER is solely responsible for compliance with all applicable federal, state, and local laws governing the purchase, resale, installation, and use of automotive brake components.
7. Warranty Disclaimer
7.1 Disclaimer.
ForgeX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY.
7.2 Manufacturer Warranty.
Any manufacturer warranty is provided solely by the manufacturer and is subject to the manufacturer's terms and conditions. ForgeX is not a party to any manufacturer warranty.
8. Returns and Refunds
8.1 Return Window.
Returns are accepted within thirty (30) days of the original order ship date. PRODUCTS must be in original, unused, uninstalled condition in original packaging.
8.2 Non-Returnable Items.
Products that have been installed, bedded, heat-cycled, or used in any manner; special-order or clearance items marked as final sale; and Track Use Products once removed from original packaging are NOT eligible for return.
8.3 Restocking Fee.
Approved returns are subject to a restocking fee of up to fifteen percent (15%) of the purchase price.
9. Payment Terms
9.1 Net Terms.
Approved Commercial Purchasers may be offered net payment terms (e.g., Net 30) at ForgeX's sole discretion.
9.2 Late Payment.
Invoices not paid by the due date shall accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by New Jersey law.
10. Intellectual Property
10.1 Ownership.
All content on the Store is the property of FORGEX MOTORSPORTS LLC or its licensors and is protected by applicable intellectual property laws.
10.2 Dealer Use of Content.
Commercial Purchasers may use ForgeX's product images and descriptions solely for marketing and reselling ForgeX PRODUCTS through authorized channels.
11. Dispute Resolution
11.1 Mandatory Binding Arbitration.
ALL DISPUTES SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA"). BUYER EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.
11.2 Venue.
The seat and place of arbitration shall be the State of New Jersey.
12. Governing Law
This Agreement shall be governed by the laws of the State of New Jersey. The CISG is expressly excluded.
13. Miscellaneous
13.1 Severability.
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed without affecting the remaining provisions.
13.2 Entire Agreement.
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
13.3 Waiver.
No waiver shall be effective unless made in writing and signed by an authorized representative of ForgeX.
13.4 Assignment.
BUYER may not assign rights under this Agreement without ForgeX's prior written consent. ForgeX may assign freely.
13.5 Force Majeure.
ForgeX shall not be liable for delays caused by circumstances beyond its reasonable control.
13.6 Electronic Agreement.
Electronic acceptance constitutes a valid, binding signature under the E-SIGN Act and applicable New Jersey law.
14. Dealer Obligations
14.1 Authorized Resale.
Commercial Purchasers are authorized to resell PRODUCTS only through their established business channels. Resale through unauthorized third-party marketplaces requires prior written authorization from ForgeX.
14.2 Product Integrity.
Dealers shall not alter, modify, relabel, repackage, or tamper with any PRODUCT or its packaging in any manner that removes or obscures safety warnings, regulatory labels, or "For Track Use Only" designations.
14.3 Installation Standards.
Dealers who install PRODUCTS on customer vehicles must ensure installations are performed by trained, qualified technicians using appropriate tools and torque specifications, with proper bedding procedures communicated to the vehicle owner.
14.4 Record Keeping.
Dealers shall maintain records of all PRODUCT purchases, installations, and resales for a minimum of five (5) years.
14.5 Insurance.
Dealers are strongly encouraged to maintain commercial general liability insurance with limits of no less than $1,000,000 per occurrence and $2,000,000 aggregate.
15. Downstream Compliance & Resale Restrictions
15.1 Dealer Responsibility.
Dealers assume full responsibility for ensuring downstream compliance with all applicable regulations including California copper brake pad law, Washington Better Brakes Law, and FMVSS requirements.
15.2 Export Controls.
Dealers shall not export PRODUCTS without first obtaining all required export licenses and ensuring compliance with U.S. export control laws.
15.3 MAP Policy.
Minimum Advertised Price (MAP) policies established by ForgeX or the applicable manufacturer are binding on all Dealers. Violations may result in immediate termination of purchasing privileges.
15.4 Account Termination.
ForgeX reserves the right to terminate any Commercial Purchaser account at any time, with or without cause, upon written notice.

3. Product Liability Disclaimer and "As Is" Sale
3.1 As-Is Sale.
ALL PRODUCTS ARE SOLD "AS IS" AND "WITH ALL FAULTS." ForgeX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
3.2 Distributor Status.
ForgeX IS A DISTRIBUTOR OF PRODUCTS MANUFACTURED BY THIRD PARTIES. ANY CLAIMS RELATING TO DESIGN OR MANUFACTURING DEFECTS SHALL BE DIRECTED TO THE APPLICABLE MANUFACTURER.
3.3 Safety Warning.
BRAKE COMPONENTS ARE SAFETY-CRITICAL PARTS. IMPROPER SELECTION, INSTALLATION, OR USE CAN RESULT IN BRAKE FAILURE, PROPERTY DAMAGE, SERIOUS PERSONAL INJURY, OR DEATH. ForgeX STRONGLY RECOMMENDS INSTALLATION BY A QUALIFIED AUTOMOTIVE TECHNICIAN.
3.5 Consumer Rights Preservation.
Nothing in this Agreement limits any rights you may have under the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) or other non-waivable consumer protection statutes.
4. Limitation of Liability
4.1 Liability Cap.
TO THE MAXIMUM EXTENT PERMITTED BY NEW JERSEY LAW, ForgeX's TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) THE ACTUAL PURCHASE PRICE PAID BY BUYER, OR (B) ONE HUNDRED DOLLARS ($100.00).
4.2 Excluded Damages.
IN NO EVENT SHALL ForgeX BE LIABLE FOR ANY indirect, incidental, special, consequential, or punitive damages; loss of profits; personal injury or property damage not directly caused by ForgeX's gross negligence or willful misconduct; or damages from misuse or improper installation of Products.
5. Indemnification
5.1 Scope of Consumer Indemnification.
BUYER shall defend, indemnify, and hold harmless ForgeX and its officers, directors, employees, and agents from LOSSES arising out of or relating to: BUYER's misuse of a PRODUCT; BUYER's installation contrary to manufacturer instructions; BUYER's use of a TRACK USE ONLY product on public roads; or BUYER's modification of a PRODUCT after purchase.
5.2 Exclusions from Indemnification Obligation.
BUYER's indemnification obligation does NOT apply to LOSSES caused by ForgeX's own negligence, gross negligence, or willful misconduct; a defect in the design or manufacture of a PRODUCT that existed at the time of sale; or ForgeX's failure to warn of known product hazards.
5.3 New Jersey Consumer Statute Carve-Out.
Nothing in this Section limits any rights or remedies available to BUYER under the New Jersey Consumer Fraud Act or the New Jersey Product Liability Act with respect to ForgeX's own negligence or willful misconduct.
5.4 Defense Control.
ForgeX reserves the right to assume exclusive control of the defense of any matter to which BUYER's indemnification obligation applies. BUYER shall not settle any claim without ForgeX's prior written consent.
6. Regulatory Compliance
6.1 FMVSS and DOT Compliance Disclaimer.
PRODUCTS DESIGNATED "FOR TRACK USE ONLY" ARE NOT CERTIFIED TO MEET FMVSS OR DOT STANDARDS. BUYER is solely responsible for verifying compliance prior to installation on street-legal vehicles.
6.2 California Copper Brake Pad Law (SB 346).
BUYER is solely responsible for determining whether PRODUCTS comply with California's copper brake pad requirements. ForgeX does not warrant compliance unless expressly stated in the product listing with a current "LS" or "N" AAIA compliance mark.
6.3 Washington Better Brakes Law.
BUYER is solely responsible for verifying that PRODUCTS sold or installed in Washington comply with all requirements of the Washington Better Brakes Law.
6.4 General Regulatory Responsibility.
BUYER is solely responsible for compliance with all applicable federal, state, and local laws governing the purchase, installation, and use of automotive brake components.
7. Warranty Disclaimer
7.1 Disclaimer.
ForgeX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7.2 No Fitness Warranty.
No warranty is made that PRODUCTS will be free from defects or compatible with BUYER's vehicle or intended use.
7.3 Manufacturer Warranty.
Any manufacturer warranty is provided solely by the manufacturer. ForgeX is not a party to any manufacturer warranty.
7.4 No Oral Warranties.
Oral or written statements made by ForgeX's employees shall not constitute a warranty unless in a formal written instrument signed by an authorized officer of ForgeX.
8. Returns and Refunds
8.1 Return Window and General Conditions.
Returns are accepted within thirty (30) days of the original order ship date. PRODUCTS must be in original, unused, uninstalled condition in original packaging, accompanied by the original order number and a completed return authorization form.
8.2 Non-Returnable Items.
Products that have been installed, bedded, heat-cycled, or used; products damaged due to improper installation or handling; special-order or clearance items marked as final sale; and Track Use Products once removed from original packaging are NOT eligible for return.
8.3 Restocking Fee.
Approved returns are subject to a restocking fee of up to fifteen percent (15%) of the purchase price. Return shipping costs are the responsibility of BUYER unless the return is due to an error by ForgeX.
8.4 Refund Processing.
Refunds will be processed to the original payment method within ten (10) business days of ForgeX's receipt and inspection of the returned PRODUCT.
8.5 Final Decision.
ForgeX's decision regarding return eligibility is final.
8.6 Damage in Transit.
BUYER must inspect all shipments upon receipt. Damage-in-transit claims must be reported to ForgeX in writing within forty-eight (48) hours of delivery with photographic documentation. Remedy is limited to replacement or store credit at ForgeX's sole discretion — no cash refund is available for carrier-damaged goods. Store credits are valid for twelve (12) months from issuance.
9. Payment Terms
9.1 Payment at Checkout.
All purchases are processed through Shopify Payments or other integrated payment processors. Payment is due in full at the time of checkout.
9.2 Accepted Methods.
Accepted payment methods are displayed at checkout and may include major credit cards, debit cards, and applicable digital wallets. ForgeX does not store payment card information.
9.3 Pricing and Tax.
All prices are listed in U.S. Dollars. Prices are subject to change without notice. Applicable sales tax will be calculated and added at checkout based on the shipping destination.
9.4 Chargebacks.
BUYER agrees to contact ForgeX prior to initiating a chargeback. Unjustified chargebacks may result in account suspension and recovery of costs, including dispute fees, from BUYER.
10. Intellectual Property
10.1 Ownership.
All content on the Store is the property of ForgeX Motorsports or its licensors and is protected by applicable intellectual property laws.
10.2 Limited License.
BUYER is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Store solely for the purpose of purchasing PRODUCTS.
10.3 Restrictions.
BUYER shall not reproduce, distribute, modify, or otherwise exploit ForgeX CONTENT without ForgeX's prior written consent.
11. Dispute Resolution
11.1 Mandatory Binding Arbitration.
ALL DISPUTES SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES. BUYER EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.
11.2 Venue.
The seat and place of arbitration shall be the State of New Jersey. BUYER irrevocably consents to the exclusive personal jurisdiction and venue of the state and federal courts located in New Jersey for any proceeding not subject to arbitration.
11.3 Small Claims and Injunctive Relief.
Either party may bring an individual action in small claims court. ForgeX may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property.
11.4 Informal Resolution.
Prior to initiating arbitration, the party asserting a dispute must provide written notice to the other party and allow thirty (30) days for informal resolution.
12. Governing Law
This Agreement shall be governed by the laws of the State of New Jersey. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
13. Miscellaneous
13.1 Severability.
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed without affecting the remaining provisions.
13.2 Entire Agreement.
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
13.3 Waiver.
No waiver shall be effective unless made in writing and signed by an authorized representative of ForgeX.
13.4 Assignment.
BUYER may not assign rights under this Agreement without ForgeX's prior written consent. ForgeX may assign this Agreement freely.
13.5 Notices.
All notices to ForgeX must be in writing and sent to ForgeX Motorsports's principal business address in New Jersey or by email to ForgeX's designated legal contact.
13.6 Force Majeure.
ForgeX shall not be liable for delays caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, labor disputes, supply chain disruptions, or government actions.
13.7 No Third-Party Beneficiaries.
This Agreement is for the sole benefit of the parties hereto. Nothing herein creates any rights in any third party.
13.8 Electronic Agreement.
BUYER acknowledges that electronic acceptance constitutes a valid, binding signature under the E-SIGN Act and applicable New Jersey law.

1. Warnings
1.1 When the thinnest thickness of friction material in the brake pad is only left 2 mm, change the new brake pad.
1.2 If the brake pad wear alerter is not installed in the car, check the thickness of friction material every 10,000 km.
1.3 Replacement brake lining assemblies or replacement drum brake linings should be replaced in axle sets.
1.4 Disassemble and assemble the brake pad by professionals who possess certain skills to ensure the safe and sound using effect; otherwise, the incorrect operation will result in the complete failure of the brake system.
2. Disassembly
2.1 Use relevant disassembly tools to ensure the car has been fixed well. (1)
2.2 Use the disassembly tool of loosing caliper to remove the guide bolt at the bottom, dismantle the caliper shell, and remove the brake pad. The locations of gaskets and spring attachments shall be marked. (2)
2.3 Clean the caliper, check the damage and rusting conditions of caliper components, and lubricate or replace the caliper components if necessary. (3)
2.4 Check the wear thickness and deep groove crack on brake disc simultaneously. (4)
3. Assembly
3.1 Prevent the friction material of brake pad from corrosion contamination by oil liquid and grease, etc.
3.2 Ensure that the brake pad assembled is matched with the car type.
3.3 Ensure the original state of brake pad newly changed, and avoid the grinding, drilling or rasping with apparatus.
3.4 Ensure all necessary gaskets, springs, and accessories are installed in place when assembling the new brake pad. (5)
3.5 Assemble the caliper shell according to the requirements in the vehicle maintenance instruction, and fasten the fixed bolts of caliper to appropriate torque.
3.6 After the assembly, Apply the brake pedal repeatedly to test the smoothness of caliper movement, and ensure the brake pad fixed in place. Supplement the brake fluid if necessary. (6)
4. Running-in
4.1 Start the car and speed up the car to 60km/h; then, tread the brake pedal forcibly and speed down the car to 20km/h.
4.2 Repeat Procedure 4.1 for about 10 to 15 times to complete the running-in.
5. Warranty
5.1 The material of brake pad product and manufacturing defect will be guaranteed, but excluding the wear and damage due to use.
5.2 The product replacement caused by the incorrect assembly and use, abuse, remolding, inappropriate maintenance or failure not resulting from the products of our company will not be included in the warranty scope.
ForgeX Motorsports warrants its branded brake products to be free from defects in materials and workmanship prior to installation only.
This warranty applies solely to the original purchaser, is non-transferable, and is strictly limited to manufacturing defects that are identifiable before the product has been installed or put into service.
Any product that has been installed, used, or subjected to any form of operation is no longer eligible for warranty consideration.
Track Use Disclaimer (All Products)
All ForgeX Motorsports brake products are designed and intended exclusively for track, racing, and high-performance driving environments.
Motorsports and track driving involve extreme conditions and inherent risks. All ForgeX Motorsports products are sold "as is" and without warranty, express or implied, once installed or used in any capacity.
ForgeX Motorsports makes no representation or guarantee regarding product performance under racing or track conditions, nor its ability to prevent injury, damage, or loss. The user assumes all risks associated with installation and use.
Exclusions
This warranty does not cover:
- Normal wear of any kind, including friction material wear
- Improper installation or handling
- Damage during installation
- Misuse, modification, or improper application
- Any product that has been installed, even if not driven
- Any product subjected to track, racing, or high-performance use
Limitation of Liability
To the maximum extent permitted by law, ForgeX Motorsports' sole obligation under this warranty is limited to the replacement or reimbursement of a verified defective product prior to installation.
ForgeX Motorsports shall not be liable for any incidental, indirect, or consequential damages, including but not limited to labor costs, installation expenses, damage to other components, property damage, loss of use, or any other economic loss, regardless of the legal theory asserted.
Warranty Claims
All claims must be submitted through ForgeX Motorsports or an authorized distributor and must include proof of purchase.
ForgeX Motorsports reserves the right to inspect and require return of the product prior to approving any claim. Claims may be denied if the product shows any indication of installation, use, or conditions excluded under this policy.
Approved claims will be resolved by replacement or reimbursement with ForgeX Motorsports products of equal or greater value.
Disclaimer of Other Warranties
Except for the limited warranty expressly stated above, ForgeX Motorsports makes no other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.
